YOUR RELATIONSHIP WITH THE JORNADA ESG
The purpose of these Terms of Use for the Lectures, mobile device platform is to establish the rules and conditions for users who may use the platform on different devices. They also govern your relationship with Jornada ESG and serve as a contract between you and us. The platform is made available for personal, non-commercial use.
The Lectures is an initiative that seeks to raise awareness among people and companies about the importance of developing environmental and social goals, known as "sustainable initiatives and/or positive impact businesses", which encompass issues that are indispensable for socioenvironmental development and the promotion of the 17 (seventeen) United Nations Sustainable Development Goals ("SDGs"), as well as their 169 (one hundred and sixty-nine) universal goals.
The LecturesJornada ESG, represented by its administrator, Truman Stakeholders"registered with the National Register of Legal Entities ("CNPJ") under number 44.325.121/0001-89, headquartered in the city of São Paulo, state of São Paulo, is a platform that will seek, in real time, to share the content of the Jornada ESG expedition exploring the frontiers of sustainability, when topics such as: challenges of the 21st century, sustainable business models, socio-environmental development, quality education and other issues that involve and promote the 17 United Nations Sustainable Development Goals (SDGs) will be addressed. There will be more than 100 cities visited in 18 countries along more than 50,000 km of overland route.
Users are any and all people able to make use of the content made available on the platform.
By accessing or using the Platform on any computer, cell phone, tablet, console or other device (collectively referred to as the "Device"), the User agrees and submits to the rules and conditions of these Terms and the Privacy Policy, to all documents and information relating thereto and also to any updates thereto.

1. OVERVIEW
1.1. The Platform is a tool developed to provide an experience for its users and features: a map of initiatives, a logbook, a greenhouse gas calculator, weekly content, technical content dedicated to sustainable initiatives and impact businesses, testimonials from volunteers and experts, ESG Kids, interviews, podcasts, photos, links to press outlets, etc
1.2 The logbook is used to share daily information about the sustainability of a road trip from Ushuaia to Alaska. It represents a way of continuously demonstrating the events of the ESG Journey expedition, through images, comments, insights, etc.
1.3. The User is solely and exclusively responsible for the use of and for all burdens arising from acts carried out not only on the Platform, but also in Third Party Programs, and it is their duty to read any terms of use and privacy policy of these, assess compliance with issues relating to compliance with Brazilian laws and adequacy with current data protection rules, verify that third parties are within standards of integrity and compliance and act as determined.
1.4. You must at all times be aware of and agree to the provisions of these Terms of Use when using the platform and it is hereby established that: (1) these Terms set out the limits of the platform's liability and (2) these Terms of Use may be modified as described below and as the Lectures administrator deems necessary.
1.5. Access to the Platform can be made through desktops, cell phones, tablets or other devices mentioned, but depends on the technological characteristics of the devices and the User's internet connection.
2. PREMISES FOR USING THE PLATFORM
2.1. It is recommended that when using the Platform, the User, when under 18 years of age, be accompanied by an adult who can declare and guarantee that they have read, understood, agreed and are in full agreement with the provisions of these Terms.
2.2. Data is collected when entered or submitted voluntarily by Users when using the Platform.
2.3. The administrator of the Lectures platform takes all measures to protect the User's data and privacy, in compliance with current legislation.
2.4. User data will be processed in accordance with the provisions of our Privacy Policy.
2.5 For information regarding personal data, we recommend consulting our Privacy Policy.
3. JOURNEY – ACCEPTANCE OF TERMS
3.1 The User declares that he/she is aware of and responsible for the correct use of the Platform.
3.2 Reading, understanding and accepting these Terms are indispensable for accessing the platform and viewing the content offered by Lectures to the User, so if you have any questions about these Terms, please contact the platform administrator at the following e-mail address: [email protected].
3.3 By accessing or using the Jornada ESG services, you confirm that you have read, understood and accept these Terms of Use and agree to abide by them, acknowledge and agree to the Privacy Policy and are at least the legal age of majority in your place of residence. 4. INTELLECTUAL PROPERTY
4.1. The elements and/or tools found on the Platform are the property of Lectures or under licenses from its partner companies, subject to intellectual rights in accordance with Brazilian law and international treaties and conventions to which Brazil is a signatory.
4.2 All content on the Platform, including but not limited to text, information, data, software, scripts, code, designs, graphics, photos, sounds, videos, applications, interactive features and other content ("Content") is protected by applicable laws and copyright laws and is the exclusive property of LecturesSuch elements and/or tools may not be used, altered, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed or otherwise exploited for any purpose whatsoever without the prior written consent of the platform administrator to the appropriate party.
4.3 It is forbidden to extract data and content from our platform for reuse and/or create your own databases that include all or part of our content without your express authorization. It is also forbidden to misuse, without authorization and/or contrary to current regulations and/or that generates confusion or implies defamatory use and/or that causes harm, damage or loss to Lectures.
4.4. You are prohibited from making unauthorized copies, modifying or commercializing the services or any content contained therein. You may not distribute, license, transfer or sell, in whole or in part, any services or any derivative works thereof.
4.5 Any intrusion, attempt, or activity that violates or contradicts intellectual property rights laws and/or the prohibitions stipulated in these Terms, will make the person responsible liable for the relevant legal actions, and will also be responsible for compensation for any damages caused.
5. RESTRICTIONS ON USE OF THE THE PLATFORM
5.1. The User may not use the Content for their own use. The User may not(i) obtain, store, disclose, commercialize and/or use personal data about other Users who may have access through the platform for commercial or illicit purposes or, even if for legal purposes, without the permission of the owner; (ii) use automatic means, including spiders, robots, crawlers, data capture tools or similar to download data from the site (except Internet search tools and non-commercial public files) under penalty of incurring a cyber-crime, in accordance with the express provision in art. 154-A of the Brazilian Penal Code; and (iii) circumventing, or attempting to circumvent, in any way whatsoever, the site's system, mechanism and/or platform.
5.2. The User is not granted any rights over the software related to the Platform or its supporting IT structures. Nothing in these Terms shall be construed as granting any intellectual property license to the User.
5.3. In the event of damage arising from acts practiced through access to the Platform or to third parties, the User shall bear all obligations to indemnify the injured party, assuming the position of defendant in the lawsuit or administrative procedure and requesting the exclusion of the Platform and its administrator, and shall bear the related expenses and procedural costs, leaving it free of damage and burdens.
6. RULES OF USER CONDUCT
6.1. Be responsible.
Do not do anything or publish anything that could expose Lectures or its users to any kind of damage or liability.
6.2. Be considerate and appropriate.
Exaggeration and insults are illegal practices. Do not threaten, intimidate, abuse, harm or harass another person or user of the Platform.
6.3. Be Private.
Do not collect or solicit personal data from other Platform users or send unsolicited emails or other communications. Do not collect, use or publish on the Platform any other person's personal data or proprietary information without their consent or for illegal purposes.
Do not use automated scripts to collect information from, or interact with, the Platform.
6.4 Be yourself
Don't impersonate any person or entity. Don't give a false impression of yourself, your age or your affiliation with any person or entity.
6.5 Be Legal
6.5.1. Do not take any action or use the Platform in such a way that it violates any law, creates liability or promotes illegal activities. Do not do anything on the Platform with the intention of interfering with, disrupting, damaging, disabling, impairing, overburdening or limiting the functionality of any software or hardware, telecommunication equipment or the Platform or the activities and operations of Lectures. Do not circumvent or modify any security technology or software on the Platform.
6.5.2. Is prohibited, the use of any device, software software or other resource that may interfere with the activities and operations of the Lectures.
7. GENERAL RULES FOR USER-GENERATED CONTENT
7.1. Links
The Platform may contain links to websites, applications or other products or services operated by third parties. Lectures does not endorse, monitor or have any control over these Third-Party Platforms, which have independent terms of use and privacy policies. The platform and its administrator are not responsible for the content or policies of Third-Party Platforms and access to these Third-Party Platforms is at the User's own risk. It is therefore the User's duty to read any Terms of Use and Privacy Policy of the portal accessed and to act as determined.
7.2. The platform administrator shall not be responsible for compatibility between its Platform and hardware owned by the User. The User must keep their equipment up to date.
7.3. The Lectures shall also not be liable for any virus, trojan, malware, spyware or any other software that may damage, alter settings or infiltrate the User's equipment as a result of accessing, using or browsing the Internet, or as a result of the transfer of data, information, files, images, text or audio.
7.4. By using the platform and accepting these Terms, the User accepts and authorizes the sending of information and promotional materials by Lectures, via e-mail, SMS or other digital means of communication.
7.5. To request that the sending of information and promotional materials be stopped, the User must contact the platform administrator by e-mail: [email protected]
7.6 Warranty Disclaimer
7.6.1. The Lectures does not represent or warrant that the Platform will be uninterrupted or error free, that any defects will be corrected, or that this Platform or the server that makes the Platform available are free of viruses or any other harmful material.
7.6.2. The Lectures reserves the right to change any and all Content and other items used or contained on the Platform at any time, without prior notice. Changes to these Terms of Use and the Privacy Policy will comply with the provisions below. We recommend that you check these Terms regularly to keep up to date with any changes.
7.7. Responsibility of the Parties
7.7.1. Users are solely and exclusively responsible for their use of the Platform and for the information they provide, and are liable, in accordance with the law, for any damage they may cause to Lectures.
7.7.2. The User is solely and exclusively responsible for all burdens and responsibilities arising from acts carried out on the Platform.
7.7.3. The User may not use the Platform to carry out acts that violate ethical and moral standards or applicable legal norms, and is absolutely prohibited from distorting the purpose of the services. For example, the User may not carry out acts that: (a) violate privacy, data protection and honor or that tarnish and harm third parties; (b) violate third parties' intellectual property rights; (c) aim to obtain illegal access to third party data; (d) mislead third parties.
7.8. Limitation of liability
7.8.1. The User assumes responsibility for the use of the Platform. Lectures shall not be liable for direct or indirect damages resulting from the use or inability to use the Platform.
7.8.2. The Lectures follows the security standards commonly used by companies working online to guarantee the security of information sent by Users and to its Platform. However, no method of transmitting or retaining electronic data is fully secure and all may be subject to external attacks, which will not be the responsibility of the Platform and its administrator.
7.8.3. The User agrees that Lectures shall not be liable for any damage or loss caused to his/her mobile device(s), computer(s) or any other electronic equipment as a result of accessing and using the platform.
7.8.4. The Jornada ESG, through its administrator, recognizes the duty to assist and cooperate with any judicial authority or governmental body, to which it makes itself available, and may send registration or business information of its Users, when it considers that its assistance or cooperation is necessary to protect its Users, employees, collaborators, administrators, partners or any person who may be harmed by the action or omission combated.
8. PRIVACY POLICY

9. GENERAL PROVISIONS
9.1. These Terms do not create any partnership, mandate, franchise or employment relationship between Lectures and the User.
9.2. In the event that any clause, provision, obligation or restriction of these Terms or the Privacy Policy is held by a court of competent jurisdiction or other authority to be invalid, void or unenforceable, all other terms, provisions, obligations and restrictions shall remain in full force and effect and shall not in any way be affected, impaired or invalidated.
9.3. Acceptance by either party of any breach of these Terms or the Privacy Policy, or its failure to exercise any right granted hereunder, shall not be deemed a novation or waiver of any future breach, whether similar or not, or of the exercise by either party of any future right granted by these Terms or the Privacy Policy. Neither the course of conduct between the parties nor trade practice shall modify these Terms.
9.4. This Platform, the Terms of Use, the Privacy Policy and any dispute between the User and Lectures and its administrator shall be governed in all respects by Brazilian law. All disputes, claims and legal proceedings arising directly or indirectly from or in connection with this Platform.
9.5. The platform may assign its rights and duties under these Terms and the Privacy Policy to any party at any time without prior notice to you.
10. MODIFICATIONS TO THE GENERAL TERMS AND CONDITION
10.1. The Lectures may change these Terms at any time and at its sole and exclusive discretion. The new Terms will come into force 10 (ten) days after they are published on the Platform. Within 30 (thirty) days from the publication of the modifications.
11. FORUM
11.1. All items in these Terms are governed by the laws in force in the Federative Republic of Brazil. For all matters relating to the interpretation, fulfillment or any other question related to these Terms, the parties expressly agree and elect the Central Court of the District of São Paulo.
